This Disclaimer supplements and forms part of the
Cetus Protocol Terms of Use (the "Terms"). Capitalized terms used but not defined here have the meanings given in the Terms.
1. Nature of the Protocol and ServicesThe Cetus Protocol is a decentralized system of smart contracts deployed on supported blockchain networks. The Protocol is permissionless and may be accessed directly by users without involvement or control of the Company.
The Services may include both on-chain functionality and, where applicable, off-chain or hybrid components, such as routing, aggregation, RFQ, automation, APIs, SDKs, and related infrastructure. These components are designed to enhance usability and efficiency and are provided on a best-effort basis.
2. No Control; No CounterpartyYou acknowledge that:
• the Company does not own or control any blockchain network;
• the Company is not a counterparty to any transaction executed through the Protocol or Services;
• all transactions are initiated and executed by you through your own wallet and the relevant blockchain network; and
• the Company does not custody, hold, or control your Digital Assets, private keys, or wallet credentials.
3. Smart Contract and Technical ConsiderationsThe Protocol and Services are built on blockchain-based smart contracts and supporting systems. We apply rigorous development practices and continuously seek to enhance security, including code reviews, audits, testing procedures, monitoring, and other protective measures.
However, due to the evolving and complex nature of blockchain technology, smart contracts and related systems may still be subject to unforeseen issues, including errors, bugs, vulnerabilities, or potential exploits. New risks or attack vectors may emerge over time, and interactions between different systems or market conditions may produce unintended outcomes.
Accordingly, while we strive to maintain a high standard of reliability and security, you acknowledge that use of the Protocol and Services involves inherent technical considerations, and outcomes cannot be guaranteed in all circumstances. In certain situations, such issues may result in unintended outcomes, including delays, failed transactions, or partial or complete loss of Digital Assets.
4. Digital Asset Risks and Market ConsiderationsDigital Assets and decentralized finance markets are inherently dynamic. We design and operate the Protocol and Services with the aim of providing efficient and transparent access to liquidity and trading functionality.
At the same time, Digital Assets may experience fluctuations in value due to market conditions, liquidity changes, or external factors. The use of the Protocol and Services may involve exposure to risks such as price volatility, slippage, liquidity changes, or variations in market depth.
While tools and mechanisms are designed to support informed decision-making, you acknowledge that the value of Digital Assets may increase or decrease, and that outcomes may vary depending on market conditions and individual usage. Depending on such factors, outcomes may include gains or losses in asset value, which may be significant.
5. No Guarantee of Accuracy or ExecutionThe Services, including routing, aggregation, RFQ, and other quote-related features:
• do not guarantee best price, best execution, or optimal routing;
• do not guarantee the availability of any asset, pair, pool, path, route, liquidity source, quote, or execution opportunity;
• do not guarantee the accuracy, completeness, timeliness, or correctness of any data, quotes, prices, routes, or outputs; and
• may rely on third-party liquidity sources, APIs, or data providers that may be inaccurate, delayed, stale, incomplete, or unavailable.
Actual execution outcomes may differ from displayed, quoted, or estimated results.
6. Availability and Service ContinuityThe Protocol and Services are provided on an “as available” basis. While we aim to maintain stable and reliable operations, we do not guarantee:
• continuous availability or uptime;
• uninterrupted access to any Service or feature;
• timely execution, synchronization, indexing, or processing; or
• advance notice of maintenance, updates, or changes.
The Services may be modified, suspended, or unavailable from time to time due to maintenance, upgrades, system conditions, or external factors.
7. Third-Party DependenciesThe Protocol and Services may depend on third-party systems and infrastructure, including but not limited to:
• blockchain networks;
• validators, sequencers, node or RPC providers;
• cloud services, APIs, databases, and indexing services;
• integrated protocols, liquidity sources, and market participants;
• wallets, browsers, and related tools; and
• software libraries, package registries, content delivery networks, and development frameworks.
We do not control or guarantee the performance, security, reliability, or continued availability of such third-party components.
8. Supply Chain ConsiderationsThe Protocol and Services may rely on third-party or open-source components that may evolve over time. While we take reasonable steps in selecting and integrating such components, they may be subject to vulnerabilities, unexpected behavior, or external changes beyond our control.
You acknowledge that such supply-chain considerations are inherent in modern software systems, including blockchain-based systems.
9. Third-Party InterfacesThe Protocol and certain Services may be accessed through third-party interfaces, applications, or tools not operated by the Company. These interfaces may differ in functionality, presentation, or reliability.
You are solely responsible for conducting your own due diligence before interacting with any third-party interface.
10. User ResponsibilityYou are solely responsible for:
• verifying transaction details before execution;
• evaluating the risks of using the Protocol and Services;
• securing your wallet, private keys, and credentials;
• assessing the characteristics and risks of Digital Assets and strategies; and
• conducting your own due diligence in all interactions.
11. No WarrantiesThe Protocol and Services are provided
“AS IS” and “AS AVAILABLE,” at your own risk, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability.
12. Limitation of RelianceNo information, output, communication, route, quote, price indication, or other content provided through the Protocol or Services constitutes financial, investment, legal, tax, or technical advice. You should not rely on such information without independent verification and your own assessment.
13. Relationship to TermsThis Disclaimer is provided for convenience as a supplement and does not replace the Terms. In the event of any inconsistency, the Terms shall prevail.
